Terms & Disclaimer
Last updated: 11 October 2025
1. Introduction and Agreement
1.1 Who we are. vRRR Limited ("vRRR", "we", "our", "us") operates the vRRR digital fitness platform available via our website and apps.
1.2 What we provide. vRRR is a digital fitness platform providing immersive route videos, workout tracking, Bluetooth device integration, and creator-uploaded content that we host and make accessible to subscribers and trial users.
1.3 Binding terms. By creating an account, subscribing, uploading content, or otherwise using vRRR (the "Service"), you ("you", "User") agree to these Terms & Disclaimer (the "Terms"). If you do not agree, do not use the Service.
1.4 Jurisdiction. These Terms are governed by the laws of New Zealand, and the New Zealand courts have exclusive jurisdiction.
1.5 Other documents. Our Privacy Policy forms part of these Terms.
2. Accounts, Subscriptions and Trials
2.1 Eligibility. You must be at least 16 years old. If you are under 18, you confirm you have parental or guardian consent.
2.2 Account. You must provide accurate information and keep it current. Authentication is provided by third-party identity services.
2.3 Subscriptions and trials.
2.3.1 Subscriptions are billed via third-party payment processors. Prices, billing frequency, renewals and cancellation information are shown at purchase.
2.3.2 Trials are for evaluation and may have feature or duration limits.
2.4 Cancellation. You may cancel at any time with effect from the end of the current billing period. We may suspend or terminate your access for breach, misuse, or risk to users, the platform, or third parties.
2.5 Third-party stores. If you subscribe through an app store, manage renewals and cancellations in that store's settings.
3. Platform Features and Interoperability
3.1 Modes and metrics. vRRR provides scenic and training modes, real-time metrics (e.g., pace, power, cadence, heart rate, distance, elevation), and on-screen HUDs. Metrics are guidance only and not medical-grade.
3.2 Exports. You can download FIT files for manual upload to third-party platforms such as Strava, Garmin, and TrainingPeaks. Automated syncing may be offered later and is not guaranteed.
3.3 Third-party changes. Third-party services may change or discontinue their features at any time; we are not responsible for such changes.
4. Health, Safety and FTMS Device Control
4.1 General health notice. Fitness content is for general information and motivation. It is not medical advice. Consult a qualified professional before starting or changing an exercise programme.
4.2 Your responsibility. You are solely responsible for using equipment safely, ensuring it is maintained and suitable, and keeping surroundings free of hazards.
4.3 Treadmills (running).
4.3.1 Any automatic treadmill speed or incline command requires explicit human confirmation before application.
4.3.2 You may request to disable the confirmation prompt only after testing your device and double-confirming acceptance of risk in-app. You can re-enable safeguards at any time.
4.4 Cycling and rowing. Automatic resistance/control may be permitted without prompts where the user is seated; you must still ensure safe use.
4.5 Safety rationale. Bluetooth FTMS allows a single controlling "master" to avoid safety issues; many platforms restrict treadmill auto-control for safety and user choice.
4.6 No liability for injury. To the maximum extent permitted by New Zealand law, we are not liable for injury, damage, or loss arising from device control, automation, prompts, or software errors, including trips or falls. Nothing in these Terms excludes liability that cannot legally be excluded (e.g., under the Consumer Guarantees Act or Health and Safety at Work Act).
5. Creator Terms
5.1 Eligibility and onboarding. To receive payouts you must complete third-party payment processor onboarding and keep payout information current.
5.2 Ownership. You retain ownership of your uploaded videos and associated GPX data ("Creator Content").
5.3 Licence to vRRR. You grant vRRR a perpetual, worldwide, royalty-free, non-exclusive, irrevocable licence to host, encode, store, cache, transmit, adapt (e.g., encode, transcode, compress, generate artwork/thumbnails), and distribute Creator Content within the Service and for its operation, promotion, and backup.
5.4 Hosting and processing. Encoding is performed using industry-standard video processing on cloud GPU infrastructure; files are stored and served from secure cloud storage services.
5.5 Availability. Creator Content is hosted for you and is not intended to be removed or revoked by you after upload; however, we may remove or restrict content to comply with law, rights enforcement, platform policies, or safety/security needs.
5.6 Prohibited content. You warrant that your content is lawful, non-infringing, and safe; you must not upload content that is illegal, harmful, or violates third-party rights.
5.7 Revenue share and payout.
5.7.1 Share. Creators are paid 20% of total subscriber revenue per subscriber.
5.7.2 Changes. The percentage may be changed by us at any time, with or without notice, upward or downward, as we adjust our revenue model.
5.7.3 Cycle. Revenue is distributed monthly on the 1st via third-party payment processors to onboarded creators.
5.7.4 Calculation. Payout is based on playback minutes weighted by user activity. Example: If a subscriber watches 100 minutes during a month and 10 minutes are from your content, you receive 10% of 20% of that subscriber's revenue for that month.
5.7.5 Annual plans. Annual subscription revenue is amortised monthly.
5.7.6 Exclusions. Trial and test users do not count. Playback under 5 minutes is excluded (threshold may change).
5.7.7 Statements. We currently provide no advance payout statistics or projections, only the aggregate monthly transfer.
5.7.8 Taxes. Creators are responsible for their own taxes and compliance; we do not withhold or remit taxes on a creator's behalf.
5.7.9 Comparables. Many fitness video platforms reserve unilateral rights to amend commercial terms; any such change on vRRR will apply prospectively as described in clause 13.
6. Acceptable Use
6.1 You must not misuse the Service, including: infringing IP; scraping; reverse engineering; attempting to bypass security; uploading malware; harassing others; or using vRRR while in motion if doing so creates risk (e.g., on-road distraction).
6.2 We may suspend or terminate accounts to protect users, comply with law, or address abuse.
7. Intellectual Property (vRRR Materials)
7.1 The Service, software, UI, design, text, graphics, logos, and other content (excluding Creator Content and your data) are owned by vRRR or our licensors.
7.2 You may not copy, adapt, distribute, or create derivative works without written permission, except as permitted by law.
7.3 You grant us a worldwide licence to use your feedback without obligation.
8. Data and Privacy
8.1 We process personal information as described in our Privacy Policy.
8.2 You must not upload personal information of others without lawful authority.
9. Warranties and Disclaimers
9.1 The Service is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation.
9.2 Metrics and analytics are estimates and may be affected by sensor quality, environment, connectivity, and third-party services.
10. Limitation of Liability and Indemnity
10.1 No indirect loss. To the maximum extent permitted by law, we exclude liability for indirect or consequential loss, loss of profits, or loss of data.
10.2 Cap. Our total liability for all claims in any 3-month period is limited to the fees you paid to us in that period.
10.3 Non-excludable rights. Nothing in these Terms excludes liability that cannot be excluded under New Zealand law.
10.4 Indemnity. You indemnify us against third-party claims arising from your unlawful use of the Service, your Creator Content, or your breach of these Terms.
11. Service Changes and Availability
11.1 We may modify, suspend, or discontinue features to improve reliability, safety, or compliance.
11.2 We are not responsible for third-party outages, changes, or withdrawals (e.g., device makers, platforms, cloud/CDN providers).
12. Complaints and Disputes
12.1 Contact [email protected] first; we'll try to resolve issues promptly.
12.2 If unresolved, the dispute will be handled under New Zealand law and courts.
13. Changes to these Terms
13.1 We may update these Terms. Material changes will be posted in-app or on the website and may be emailed to you.
13.2 Unless stated otherwise, changes take effect 10 days after posting; continued use after that date constitutes acceptance. (Comparable platforms reserve unilateral amendment rights with notice windows.)
